Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the federal or state courts located in Davidson County, Tennessee. You consent to the personal jurisdiction of these courts.
12.3 Federal Law
Where applicable, federal laws of the United States shall also govern (including the Digital Millennium Copyright Act, CAN-SPAM Act, and other federal statutes).
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at legal@compliantdrivers.com to attempt to resolve the matter informally. Provide a detailed description of the dispute and your proposed resolution.
We will attempt to resolve the dispute within 30 days. If we cannot reach a resolution, you may proceed with formal dispute resolution.
13.2 Mediation
If informal resolution fails, both parties agree to attempt mediation through a mutually agreed-upon mediator before pursuing arbitration or litigation.
14. Arbitration Agreement and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
14.1 Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms or the Site (including breach, termination, enforcement, interpretation, or validity) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
14.2 Arbitration Process
- Arbitration will be conducted in Nashville, Tennessee, or via videoconference
- One neutral arbitrator will be selected
- The arbitrator's decision is final and binding
- Judgment on the award may be entered in any court of competent jurisdiction
14.3 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.
14.4 Exceptions
This arbitration agreement does not apply to:
- Small claims court actions (if claim qualifies)
- Intellectual property disputes (trademark, copyright infringement)
- Injunctive or equitable relief
14.5 Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@compliantdrivers.com within 30 days of first using the Site. Include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.
15. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and Compliant Drivers regarding your use of the Site.
These Terms supersede all prior or contemporaneous agreements, communications, and proposals (whether oral, written, or electronic) between you and us.
17. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision must be in writing and signed by an authorized representative of Compliant Drivers.
18. Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations under these Terms without our prior written consent.
We may assign, transfer, or delegate these Terms and our rights and obligations at any time without notice or consent, including in connection with a merger, acquisition, sale of assets, or by operation of law.
19. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God (natural disasters, earthquakes, floods)
- War, terrorism, civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Cyberattacks, hacking, or security breaches
- Pandemics or public health emergencies
